These Terms & Conditions (“Terms”, “Terms and Conditions”) govern your use of our web pages located at http://helpmindbody.com/ (hereinafter the” Website”, “Site”) and Help Mind Body mobile application Help Mind Body (“App”) (together “Service”, “Platform”, “Help Mind Body”) owned and operated by solo trader Daniel Tete Gunn (hereinafter the “Help Mind Body” “we”, “our”, “us”).

The Platform provides the Services through the Website and the App. By accessing the Services through the Website or the App, immediately and from your very first access to the Services, you unconditionally and irrevocably agree to be bound by these Terms and Conditions, all applicable laws and/or regulations and you agree that you are responsible for this compliance.

Your agreement with us includes these Terms and our Privacy Policy (“Agreements”). You acknowledge that you have read and understood the Agreements, and agree to be bound by them.

If you do not agree with (or cannot comply with) Agreements, then immediately stop to use the Service. These Terms apply to all visitors, customers and others who wish to access or use the Service.

The Platform reserves the right to change these Terms and Conditions. These changes are effective immediately upon posting. When changes come into effect, the revised Terms and Conditions shall supersede the previous version of the Terms and Conditions. You are responsible for regularly reviewing these Terms and Conditions.

  1. ABOUT US
    1. Help Mind Body is owned and operated by solo trader Daniel Tete Gunn, registered address 114 Chadwick Drive Eaglestone West Milton Keynes MK6 5LS Buckinghamshire, United Kingdom.
  2. ACCESS AND USE OF THE SITE
    1. You must only use the Site in accordance with these Terms and any applicable law.
    2. You must not (or attempt to):
      1. interfere with or disrupt the Site or the servers or networks that host the Site;
      2. use data mining, robots, screen scraping or similar data gathering and extraction tools on the Site; or
      3. interfere with security-related or other features of the Site.
    3.  We do not warrant that the Site will be available at all times and without disruption and we provide no warranties in relation to the content of any other website linked to or from our Site.
    4. You must not link to our Site or any part of our Site in a way that damages or takes advantage of our reputation, including but not limited to:
      1. in a way to suggest or imply that you have any kind of association and affiliation with us, or approval and endorsement from us when there is none; or
      2. in a way that is illegal or unfair.
  3. USE OF APP
    1. You may access Help Mind Body and Services via our App.
    2. In order to be able to use the App, you shall (i) download and install the App on a mobile device that is compatible with the App, as well as (ii) have an internet connection.
    3. You agree that you are solely responsible for meeting the aforementioned requirements, which may also (i) bear additional charges and fees, and/or (ii) require you to perform software updates and/or to comply with the terms and conditions of your agreement(s) with your mobile device and telecommunications provider.
      1. We make the App available (a) on the Website from which you can click on a link to download the App, or (b) for download directly from Google Play and the Apple App Store.
      2. We shall make every effort to ensure that Help Mind Body is continually available to you.
  4. INFORMATION ON THIS SITE
    1. The Site and the content on the Site are subject to copyright, trademarks and other intellectual property rights. These rights are owned by or licensed to Help Mind Body.
    2. You must not reproduce, transmit, communicate, adapt, distribute, sell, modify or publish or otherwise use any of the material on the Site, except as permitted by statute or with our prior written consent.
  5. CONTESTS, SWEEPSTAKES AND PROMOTIONS
    1. Any contests, sweepstakes or other promotions (collectively, “Promotions”) made available through Service may be governed by rules that are separate from these Terms & Conditions. If you participate in any Promotions, please review the applicable rules as well as our Privacy Policy. If the rules for a Promotion conflict with these Terms & Conditions, Promotion rules will apply.
  6. ACCOUNTS
    1. When you create an account with us, you guarantee that you are above the age of 13, and that the information you provide us is accurate, complete, and current at all times.
    2. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on Service.
    3. You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account.
    4. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password, whether your password is with our Service or a third-party service.
    5. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
    6. You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you, without appropriate authorization.
    7. You may not use as a username any name that is offensive, vulgar or obscene.
    8. We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders at our sole discretion.
  7.  REGISTRATION, LOGIN CREDENTIALS AND SECURITY
    1. In order to be able to make use of and access the Services, you shall register on the Website or the App by providing Platform with all required information which includes but is not limited to your full name, business name, address and contact information.
      1. You agree to (i) provide true, accurate, current and complete information about yourself as prompted by the sign-up process; and (ii) maintain and promptly update the information provided during registration to keep it true, accurate, current, and complete.
      2. Each Help Mind Body account can be accessed by the holder via the Website or the App (“Account”).
      3. If you provide any information to Platform that is untrue, inaccurate, outdated or incomplete, or if we have reasonable grounds to suspect that such information is untrue, inaccurate, outdated or incomplete, we may terminate your Account with us and refuse current or future use of any or all of the Services.
      4. When registering an Account, if you are registering with Platform as a customer, you may provide Platform with your choice of Account password and username (“Login Credentials”).
      5. If you are registering an Account with us as a therapist, Login Credentials shall be provided to you by Platform.
      6. You hereby:
        1. acknowledge and agree that you are solely responsible for maintaining the confidentiality of your Login Credentials and for any and all activities that occur under your account;
        2. agree to notify Platform immediately of any unauthorized use of your account or of any other breach of security. The Platform shall not be liable for any loss that you may incur as a result of any third party using your Login Credentials or Account, either with or without your knowledge. However, you may be held liable for losses incurred by the Platform as a result of a third party using your Account or Login Credentials.
        3. acknowledge and agree that you may not use anyone else’s Account at any time, without the express permission of such account holder.
  8. PURCHASES
    1. If you wish to purchase any product or service made available through Service (“Purchase”), you may be asked to supply certain information relevant to your Purchase including, without limitation, your credit card number, the expiration date of your credit card and your billing address.
    2. You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct and complete.
    3. We may employ the use of third-party services for the purpose of facilitating payment and the completion of Purchases. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy.
    4. We reserve the right to refuse or cancel your order at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your order or other reasons.
  9. SUBSCRIPTIONS
    1. Some parts of the Service are billed on a subscription basis (“Subscription(s)”). We offer different billing cycles to our clients, including per session, monthly, and yearly basis. For clients who choose to subscribe to our monthly and yearly plans (“Billing Cycle”), payments will be automatically deducted from their credit card on a recurring basis. By subscribing to our monthly and yearly plans, you agree to have your credit card automatically charged for the corresponding billing cycle. In the event of an insufficient funds withdrawal, your account will be considered as not paid.
      1. At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or Help Mind Body cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting Help Mind Body customer support team.
      2. Please note that for per session billing, payment is due at the time of service and will not be automatically deducted from your credit card.
      3. A valid payment method, including a credit card, is required to process the payment for your subscription. You shall provide Help Mind Body with accurate and complete billing information including full name, address (country, town/region), post code, telephone number, and valid payment method information. By submitting such payment information, you automatically authorize Help Mind Body to charge all Subscription fees incurred to any such payment instruments.
      4. Should automatic billing fail to occur for any reason, Help Mind Body will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.
  10.  FEE CHANGES
    1. Help Mind Body, in its sole discretion and at any time, may modify Service fees for the therapists.
      1. Any Service fee change will become effective at the end of the then-current Billing Cycle.
      2. Help Mind Body will provide you with reasonable prior notice of any change in Service fees.
  11.  REFUNDS
    1. Except when required by law, Help Mind Body does not offer refunds on subscriptions or purchases on a case-by-case basis.
  12.  PROHIBITED USE
    1. You may use the Service only for lawful purposes and in accordance with the Terms.
    2. You agree not to use Service:
      1. In any way that violates any applicable national or international law or regulation.
      2. For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or otherwise.
      3. To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail”, “chain letter,” “spam,” or any other similar solicitation.
      4. To impersonate or attempt to impersonate Platform, a Platform employee, another user, or any other person or entity.
      5. In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.
      6. To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of Service, or which, as determined by us, may harm or offend Platform or users of Service or expose them to liability.
    3. Additionally, you agree not to:                                                                           
      1. Use Service in any manner that could disable, overburden, damage, or impair Service or interfere with any other party’s use of Service, including their ability to engage in real time activities through Service.
      2. Use any robot, spider, or other automatic device, process, or means to access Service for any purpose, including monitoring or copying any of the material on Service.
      3. Use any manual process to monitor or copy any of the material on Service or for any other unauthorized purpose without our prior written consent.
      4. Use any device, software, or routine that interferes with the proper working of Service.
      5. Introduce any viruses, trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful.
      6.  Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of Service, the server on which Service is stored, or any server, computer, or database connected to Service.
      7. Attack Service via a denial-of-service attack or a distributed denial-of-service attack.
      8. Take any action that may damage or falsify the Platform rating.
      9. Otherwise attempt to interfere with the proper working of Service.
  13.  USE BY MINORS
    1. Service is intended only for access and use by individuals at least 13 years old.
    2. By accessing or using any of Platform, you warrant and represent that you are at least 13 years of age and with the full authority, right, and capacity to enter into this agreement and abide by all of the terms and conditions of Terms.
    3. If you are not at least 13 years old, you are prohibited from both the access and using the Service.
  14.  INTELLECTUAL PROPERTY
    1.  Service and its original content (excluding Content provided by users), features and functionality are and will remain the exclusive property of Help Mind Body and its licensors.
    2. Service is protected by copyright, trademark, and other laws of England and Wales.
    3. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Help Mind Body.
    4. All code, text, software, scripts, graphics, files, photos, images, logos, and materials contained on this website, our applications, or within the services, are the sole property of Help Mind Body.
    5. Unauthorized use of any materials contained on this Website, our applications or within the Service may violate copyright laws, trademark laws, the laws of privacy and publicity, and/or other regulations and statutes.     6. All content, trademarks, data, information or information contained in any materials, or documents used in relation to the Platform and the Services, including but not limited to any and all copyrighted works, software, databases, text, graphics, icons, designs, logos, graphics, hyperlinks, domain names, information and agreements (“Content”), are the exclusive property of or are licensed to the Platform. You may not reproduce, distribute or copy the Content by any means, whether electronically or not, without Platform’s prior written permission.
    7. Any and all intellectual property rights in the Content, Services and the Platform or otherwise developed by or on behalf of Platform, including all patents, rights in inventions, rights in designs, trademarks, trade and business names and all associated goodwill, rights to sue for passing off or for unlawful competition, copyright, moral rights and related rights, rights in databases, topography rights, domain names, rights in information (including know how and trade secrets) and all other similar or equivalent rights existing in the Content, Services and the  Platform or otherwise developed by or on behalf of Platform, now or in the future in any part of the world, in each case whether registered or unregistered and including all applications for, and renewals or extensions of, such rights for their full term (“Intellectual Property”), vests in Platform, its licensors or suppliers, as the case may be, and all rights not expressly granted by Platform to you are reserved by Platform.
    8. Save as expressly set out herein and in the Contracts, you shall not acquire any right, title or interest in Platform’s Intellectual Property. You may not use the Platform’s Intellectual Property in a manner that may (i) place the Platform’s Intellectual Property at risk of losing value, and (ii) cause reputational damage to the Platform.
  15.  LICENSESYour Rights.
    1.  Help Mind Body does not claim ownership of the information that you submit for your Help Mind Body account or through our Services. You must have the necessary rights to such information that you submit for your Help Mind Body account or through our Services and the right to grant the rights and licenses in our Terms.
      1. Help Mind Body’s Rights. We own all copyrights, trademarks, domains, logos, trade dress, trade secrets, patents, and other intellectual property rights associated with our Services. You may not use our copyrights, trademarks, domains, logos, trade dress, patents, and other intellectual property rights unless you have our express permission
      2. Your License to Help Mind Body. In order to operate and provide our Services, you grant Help Mind Body a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, create derivative works of, display, and perform the information (including the content) that you upload, submit, store, send, or receive on or through our Services. The rights you grant in this license are for the limited purpose of operating and providing our Services (such as allowing us to display your profile picture and status message, transmit your messages, store your undelivered messages on our servers for up to 30 days as we try to deliver them, and otherwise as described in our Privacy Policy).
      3. Help Mind Body License to You. We grant you a limited, revocable, non-exclusive, non-sublicensable, and non-transferable license to use our Services, subject to and in accordance with our Terms. This license is for the sole purpose of enabling you to use our Services, in the manner permitted by our Terms. No licenses or rights are granted to you by implication or otherwise, except for the licenses and rights expressly granted to you.
  16.  LINKS TO OTHER WEBSITES
    1. Our Service may contain links to third party web sites or services that are not owned or controlled by Help Mind Body.
    2. We have no control over, and assume no responsibility for the content, privacy policies, or practices of any third-party web sites or services.
    3. We do not warrant the offerings of any of these entities/individuals or their websites.
    4. YOU ACKNOWLEDGE AND AGREE THAT HELP MIND BODY SHALL NOT BE RESPONSIBLE OR LIABLE, DIRECTLY OR INDIRECTLY, FOR ANY DAMAGE OR LOSS CAUSED OR ALLEGED TO BE CAUSED BY OR IN CONNECTION WITH USE OF OR RELIANCE ON ANY SUCH CONTENT, GOODS OR SERVICES AVAILABLE ON OR THROUGH ANY SUCH THIRD-PARTY WEB SITES OR SERVICES.
    5. WE STRONGLY ADVISE YOU TO READ THE TERMS AND CONDITIONS AND PRIVACY POLICIES OF ANY THIRD-PARTY WEB SITES OR SERVICES THAT YOU VISIT.
  17.  ANALYTICS
    1. We may use third-party Service Providers to monitor and analyze the use of our Service.
    2. Google Analytics.
      1. Google Analytics is a web analytics service offered by Google that tracks and reports website traffic. Google uses the data collected to track and monitor the use of the Service. This data is shared with other Google services. Google may use the collected data to contextualize and personalize the ads of its own advertising network.

  18.  ERROR REPORTING AND FEEDBACK

You acknowledge and agree that: (i) you shall not retain, acquire or assert any intellectual property right or other right, title or interest in or to the Feedback; (ii) Platform may have developed ideas similar to the Feedback; (iii) Feedback does not contain confidential information or proprietary information from you or any third party; and (iv) Platform is not under any obligation of confidentiality with respect to the Feedback. In the event the transfer of the ownership to the Feedback is not possible due to applicable mandatory laws, you grant Platform and its affiliates an exclusive, transferable, irrevocable, free-of-charge, sub-licensable, unlimited and perpetual right to use (including copy, modify, create derivative works, publish, distribute and commercialize) Feedback in any manner and for any purpose.
  19.  DISCLAIMER OF WARRANTY
    1. THESE SERVICES ARE PROVIDED BY THE PLATFORM ON AN “AS IS” AND “AS AVAILABLE” BASIS. THE PLATFORM MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF ITS SERVICES, OR THE INFORMATION, CONTENT OR MATERIALS INCLUDED THEREIN. YOU EXPRESSLY AGREE THAT YOUR USE OF THESE SERVICES, THEIR CONTENT, AND ANY SERVICES OR ITEMS OBTAINED FROM US IS AT YOUR SOLE RISK.
    2. NEITHER THE PLATFORM NOR ANY PERSON ASSOCIATED WITH THE PLATFORM MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES. WITHOUT LIMITING THE FOREGOING, NEITHER PLATFORM NOR ANYONE ASSOCIATED WITH THE PLATFORM REPRESENTS OR WARRANTS THAT THE SERVICES, THEIR CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE SERVICES OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS OR THAT THE SERVICES OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.
    3. PLATFORM HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.
    4. THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
  20.  LIMITATIONS OF LIABILITY  
    1. EXCEPT AS PROHIBITED BY LAW, YOU WILL HOLD US AND OUR OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS HARMLESS FOR ANY INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGE, HOWEVER IT ARISES (INCLUDING ATTORNEYS’ FEES AND ALL RELATED COSTS AND EXPENSES OF LITIGATION AND ARBITRATION, OR AT TRIAL OR ON APPEAL, IF ANY, WHETHER OR NOT LITIGATION OR ARBITRATION IS INSTITUTED), WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE, OR OTHER TORTIOUS ACTION, OR ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, INCLUDING WITHOUT LIMITATION ANY CLAIM FOR PERSONAL INJURY OR PROPERTY DAMAGE, ARISING FROM THIS AGREEMENT AND ANY VIOLATION BY YOU OF ANY LOCAL LAWS, STATUTES, RULES, OR REGULATIONS, EVEN IF PLATFORM HAS BEEN PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. EXCEPT AS PROHIBITED BY LAW, IF THERE IS LIABILITY FOUND ON THE PART OF THE PLATFORM, IT WILL BE LIMITED TO THE AMOUNT PAID FOR THE PRODUCTS AND/OR SERVICES, AND UNDER NO CIRCUMSTANCES WILL THERE BE CONSEQUENTIAL OR PUNITIVE DAMAGES.
  21.  FORCE MAJEURE
    1. A force majeure eventmeans any event beyond a Party’s reasonable control that, by its nature, could not have been foreseen or, if it could have been foreseen, was unavoidable, including strikes, lock-outs or other industrial disputes (whether involving its own workforce or a third party’s), acts of God, war, riot, embargoes, acts of civil or military authorities, acts of terrorism or sabotage, shortage of supply or delay in delivery by our vendors, fire, flood, earthquake, accident, radiation, inability to secure transportation, failure of communications or energy sources, malicious damage, breakdown of plant or machinery, or default of suppliers or sub-contractors.
      1. Neither Party is liable for delays or failures to perform any of its obligations under these Terms to the extent caused by a force majeure event.
  22.  DISPUTE RESOLUTION
    1. Nonetheless, Help Mind Body offers Customer Service which will act immediately to resolve any dispute that may happen while the usage of Help Mind Body’s Services.
      1. In order to use this service, the user should contact Help Mind Body support, within a period of no more than 48 hours after an issue happened, at [email protected], Help Mind Body will not acknowledge any claims made outside of this period.
      2. Once the claim has been made, it will be assessed internally by Help Mind Body, and where applicable, Help Mind Body will act immediately to help to solve any issue that may arise during the usage of Help Mind Body’s Services.
      3. User agrees for the purposes of the settlement of an issue, an e-mail correspondence, phone call or video conference with the authorized persons of the Help Mind Body shall be the effective and binding method of communication.
  23.  GOVERNING LAW
    1. These Terms shall be governed and construed in accordance with laws of England and Wales without regard to its conflict of law provisions.
    2. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
    3. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
    4. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding Service.
    5. Any dispute, controversy, proceedings or claim between you and Help Mind Body relating to these Terms and Conditions, or the relationship between you and Help Mind Body (whether contractual or otherwise) shall be subject to the jurisdiction of the courts of England.
  24.  CHANGES TO SERVICE
    1. We reserve the right to withdraw or amend our Service, and any service or material we provide via Service, in our sole discretion without notice.
    2. We will not be liable if for any reason all or any part of the Service is unavailable at any time or for any period.
    3. From time to time, we may restrict access to some parts of the Service, or the entire Service, to users, including registered users.
  25.  AMENDMENTS TO TERMS
    1. We reserve the right, at our sole discretion, to update, change or replace any part of these Terms & Conditions at any time by posting updates/amended terms and changes to our website.
    2. It is your responsibility to review these Terms periodically.
    3. Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes.
    4. You are expected to check this page frequently so you are aware of any changes, as they are binding on you.
    5. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
    6. If you do not agree to the new terms, you are no longer authorized to use the Service.
  26.  INDEMNITY
    1.  You agree to indemnify, defend and hold harmless us and our related entities, affiliates, and our and their respective officers, agents, and employees, harmless from and against any and all claims, demands, proceedings, losses and damages (actual, special and consequential) of every kind and nature, known and unknown, including reasonable legal fees, made by any third party due to or arising out of your breach of these Terms or your breach of any law or the right of a third party.
  27.  WAIVER AND SEVERABILITY
    1.  No waiver by Platform of any term or condition set forth in Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Platform to assert a right or provision under Terms shall not constitute a waiver of such right or provision.
    2.
